3. TERMS AND CONDITIONS (T&C)

1. Scope of Application

These Terms and Conditions apply to all contracts between BruScale UG (haftungsbeschraenkt), Schorlemerstr. 88, 40547 Duesseldorf, Germany (the "Seller") and the customer via the online shop auzea.shop. Deviating conditions of the customer will not be recognised unless the Seller expressly agrees to their validity in writing.

2. Conclusion of Contract

2.1 The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to order. 2.2 By clicking "Buy Now" or "Place Order", the customer places a binding order for the items in the shopping cart. 2.3 Confirmation of receipt of the order is sent by email immediately after the order is submitted. This email does not yet constitute acceptance of the offer. 2.4 A purchase contract is only concluded upon dispatch confirmation by email. 2.5 The contract language is English.

3. Prices and Payment

3.1 All prices are final prices. For international deliveries (particularly to Australia and New Zealand), local taxes and duties may apply and are to be borne by the customer. Australian customers: prices may include 10% GST where applicable. New Zealand customers: prices may include 15% GST where applicable. 3.2 Payment is made via the payment methods offered in the shop (credit card, PayPal, Shopify Payments, AfterPay, and others as available). 3.3 For credit card payments, the amount is charged upon placing the order. 3.4 All transactions are processed in Australian Dollars (AUD) or New Zealand Dollars (NZD) as applicable.

5. Retention of Title

The delivered goods remain the property of the Seller until payment is made in full.

7. Australian and New Zealand Consumer Rights

7.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on consumers under the Australian Consumer Law (ACL) that cannot be excluded, restricted or modified by agreement. 7.2 Under the ACL, our goods come with guarantees that cannot be excluded, including that they are of acceptable quality and fit for purpose. 7.3 For New Zealand customers, the Consumer Guarantees Act 1993 (CGA) applies. Nothing in these Terms excludes or limits rights conferred under the CGA. 7.4 If a product is faulty or does not meet consumer guarantees under ACL or CGA, customers are entitled to a repair, replacement or refund as appropriate. 7.5 Our 14-day withdrawal period is in addition to, and does not limit, statutory consumer rights under ACL or CGA.

8. Warranty and Defect Liability

8.1 Statutory defect liability rights apply. 8.2 For used goods, the limitation period for defect claims is one year from delivery. 8.3 For Australian and New Zealand customers, the consumer guarantees under ACL/CGA apply in addition and cannot be waived.

9. Limitation of Liability

9.1 The Seller is liable for damages caused by slight negligence only in the event of a breach of material contractual obligations. 9.2 Liability is limited to the typically foreseeable damage. 9.3 The above limitations of liability do not apply in the event of injury to life, body or health, nor in the case of fraudulently concealed defects. 9.4 Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including the ACL or the NZ Consumer Guarantees Act.

10. Intellectual Property

All content on auzea.shop, including images, logos, text and design, is the property of BruScale UG or its licensors and is protected by applicable intellectual property laws. Reproduction or use without prior written permission is prohibited.

12. Dispute Resolution

The EU Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board. Australian customers: disputes may be referred to the relevant state or territory consumer protection agency, or the Australian Competition and Consumer Commission (ACCC). New Zealand customers: disputes may be referred to the Commerce Commission or the Disputes Tribunal.

13. Governing Law and Jurisdiction

13.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). 13.2 For consumers, this choice of law only applies insofar as the consumer is not deprived of greater protection afforded by the mandatory provisions of the law of their country of residence. 13.3 For Australian and New Zealand consumers, the mandatory consumer protection provisions of Australian and New Zealand law apply in addition and cannot be excluded. 13.4 Place of jurisdiction for merchants is Duesseldorf, Germany.

14. Severability

14.1 Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. 14.2 Amendments or additions to these Terms must be made in writing.
